Van Kerrebroeck loses legal tussle

[miningmx.com] — CANADIAN mining entrepreneur Dennis van Kerrebroeck has failed in his attempt to prevent his removal as the sole director of exploration junior Ngwenda Gold.

In the South Gauteng High Court on Friday morning, Judge Wepener handed down a ruling in favour of Ngwenda Gold, declaring that Van Kerrebroeck was not validly appointed as a director of the company.

The ruling added that the Registrar of Companies and the Companies and Intellectual Property Registration Office (Cipro) had to amend its records to show that, instead, Mashudu Nengwenda, Johannes Jansen and Thomas Mapengo were the only directors of Ngwenda.

The judge ordered Van Kerrebroeck to pay the costs of the application, which had been brought by Ngwenda and the three directors.

Nengwenda and his fellow directors stated in their application that Van Kerrebroeck had sought to seize control of Ngwenda through unlawful activity.

They said their names had been fraudulently changed on the Cipro database and replaced by that of Van Kerrebroeck as the only active director.

In his reply, Van Kerrebroeck said that Nengwenda, Jansen and Mapengo had sold all their shares in Ngwenda and resigned as directors on or about September 8 last year.

He also said they had agreed to appoint him as director and attached a string of documents backing up those claims.

In their reply to Van Kerrebroeck, Nengwenda and his fellow directors denied having resigned as directors or having agreed to sell Ngwenda, and stated the documents and their signatures on them were fraudulent.

Asked for comment, Van Kerrebroeck told Miningmx: “I will appeal the decision and seek out such remedies as I am able (to) in South Africa.’
